Indiana Business Entity Report: Every Other Year, $31 Online and the 2026 Rule Changes

An Indiana business entity report is the filing the Indiana Secretary of State needs to keep your company active. For-profit entities file it every other year in their anniversary month, and it costs $31 online or $50 by mail, as of October 2026.

Indiana calls it a business entity report, but you'll also hear it called a biennial report. It applies to corporations, LLCs and other registered entities, and the Secretary of State's Business Services Division says filing online through INBiz is the cheapest, easiest and quickest way.

When the Indiana business entity report is due

  • For-profit entities file every other year, in the anniversary month the entity was originally created.
  • Nonprofit entities file every year, in their anniversary month.
  • You can submit a report up to 90 days before the month it's due.
  • A business search on INBiz shows exactly when your entity's next report is due.

Indiana business entity report fees

These are the fees on the Secretary of State's page, as of October 2026:

EntityOnlineBy mail
For-profit$31$50
Nonprofit$21$20

One quirk: for a for-profit entity, filing online is cheaper, but for a nonprofit the mail fee is the lower one. Most nonprofits still file online for speed, but it's worth knowing.

What goes in the report

The report has to be current as of the date it's signed, and it must contain:

  1. The entity's name and, for a registered foreign entity, its jurisdiction of formation.
  2. The registered agent information required by IC 23-0.5-4-3(b).
  3. The street address of the entity's principal office.
  4. For a corporation, the names and business addresses of its directors, secretary and highest executive officer.
  5. For a nonprofit corporation, the names and business or residence addresses of its directors, secretary and highest executive officer.

Any information that's changed since your last filing goes in too. That makes the report a convenient moment to tidy up your record, much like an LLC annual report in other states.

What happens if you miss an Indiana business entity report

The Secretary of State administratively dissolves or revokes entities that don't file. Before that happens, the office sends no fewer than four reminders to the contact details on file. After a report is five months overdue, the business is administratively dissolved.

So the email and address on your record matter. If the reminders go to an old inbox, you could lose the company without seeing a single one. Keep it current before you order a certificate of good standing for a bank or a buyer.

Reinstating a dissolved Indiana business

The Secretary of State's page says a business dissolved for less than five years can be reinstated. Its older wording says one dissolved for more than five years can't be brought back, and only certain affairs can be wound up under IC 23-0.5-6-2.

Here's the insight most guides haven't caught up with. HB 1593, effective January 1, 2026, enables reinstatement of an entity dissolved for more than five years if it provides an additional notarized affidavit and states the reason for the request. If you've written off an old company, it may be worth a second look.

What changed on January 1, 2026

Two bills, HB 1593 and HB 1666, changed Indiana filings from January 1, 2026:

  • If someone files a business entity report on behalf of another person, the submitter must take reasonable steps to identify that person.
  • Businesses that run entirely remotely, and would otherwise have to list a residential address publicly, can opt to keep that home address off the public record.
  • Commercial mail receiving agency operators that want to file on INBiz must meet new requirements, and filings that list one of their addresses need extra disclosures.
  • Health care entities must report certain ownership information on the business entity report, under HB 1666.

If you use a filing service, expect them to ask you for identification now. That's the new law, not a scam.

Each state has its own quirks, and the registered agent rules in Wyoming covers another set of them.

Filing the Indiana report online or on paper

The Secretary of State says filing online through INBiz is the cheapest, easiest and quickest way, though paper filings are still accepted. Online, you file through the same INBiz account you'd use for other business filings, and a business search there shows when your next report is due. The Secretary of State also publishes an instructional video on filing, and its State Information Center takes questions by phone and email.

If you pay someone else to file for you, the 2026 rules mean they must take reasonable steps to identify the person they're filing for. And if your business uses a commercial mail receiving agency address, such as a private mailbox, on its filings, there are now required disclosures attached to that address. HB 1593 also clarified the definition of principal office, so check the address you list is the right kind.

My verdict on the Indiana report

File it online in your anniversary month, every other year, for $31, as of October 2026. Set a reminder, keep your contact details current so the four reminders reach you, and if you run the business from home, look at the new option to keep that address private. If you sell taxable goods, keep your Indiana sales tax registration in step too.
