Wyoming Registered Agent: the Physical Presence Rule, Commercial Agent Registration and the Records They Keep

Every Wyoming LLC and corporation must keep a registered agent and a registered office at a Wyoming street address where someone is physically present to accept legal papers, under W.S. 17-28-101. An individual agent must be at least 18 and live in the state, anyone serving as agent for more than 10 entities must register as a commercial registered agent, and every entity and agent must keep an email address the Secretary of State can use for service.

Wyoming is a popular place to form an LLC, and most of those companies have no office or staff in the state. That makes the registered agent the one link between the company and Wyoming, and the legislature has written more rules around agents than most states do. Chapter 28 of Title 17 covers who can serve, what they must keep on file, and what happens when things go wrong.

Who can be a Wyoming registered agent

W.S. 17-28-101(a)(ii) lists four kinds of agent:

AgentRequirement in 17-28-101
An individualAt least 18 years of age, resides in Wyoming, and has a business office identical with the registered office
A domestic business entityBusiness office identical with the registered office, plus a written agreement with an individual who can accept service
A foreign business entity authorized in WyomingThe same as a domestic entity: matching office and a written agency agreement with an individual
A commercial registered agentServes more than 10 entities, is registered under 17-28-105, and has a business office identical with the registered office

Business entity here is broad. Section 17-28-101(b) covers corporations, nonprofit corporations, LLCs, limited partnerships, cooperative marketing associations, statutory trusts, statutory foundations and registered limited liability partnerships, whether formed in Wyoming or elsewhere.

The physical presence rule

This is the line that makes Wyoming different. The registered office must be at a street address in Wyoming that's a physical location where the agent, or a person with an agency relationship with the agent, can accept service and is physically present. A forwarding address won't do. If you're forming from another state, this is why nearly everyone uses a commercial agent based in Wyoming.

Section 17-28-101(e) adds a modern rule: each business entity and each registered agent must maintain an email address the Secretary of State's office can use to serve documents. The Secretary of State's consent form asks the agent for an email address and says it will receive important reminders, notices and filing evidence, so use one somebody reads.

When an agent must register as a commercial registered agent

Under 17-28-105, nobody may do business in Wyoming as a registered agent without registering with the Secretary of State, unless they serve as agent for 10 or fewer entities. A commercial registered agent also can't have been convicted of any felony, can't have officers or managers with a felony conviction, and can't engage in conduct intended or likely to deceive or defraud the public.

Section 17-28-106 sets out the registration. The application is sworn under penalty of perjury and includes the agent's legal name, physical Wyoming address, felony history, a contact person, an email address and the hours of the registered office. Registration runs for the calendar year and expires on December 31. Renewal is due by November 30, a renewal in December carries a late fee equal to the annual fee, and renewal after December 31 costs a late renewal fee of $500 plus an administrative fee, as of October 2026. The annual fee itself is set by rule, not in the statute.

What a Wyoming registered agent keeps on file

Section 17-28-107 gives agents a records duty that surprises a lot of owners. For each domestic entity it represents, the agent must keep, and keep current within 60 days of any change:

  • names and addresses of the directors, officers, LLC managers, managing partners or trustees
  • the name, physical address and phone number of a natural person authorized to receive communications from the agent
  • a copy of the written agreement giving a natural person authority to accept service for the entity

That's why a good Wyoming agent will ask you for these details when you sign up and again when your annual report is due. Section 17-28-104(d) says the communications contact can't be the agent or one of its employees, unless the agent is also an officer, member, manager or similar of the company. The entity and agent can agree to file the information with the Secretary of State instead, using the state's consent form.

Section 17-28-108 lets the Secretary of State examine these records, keeps them confidential except for information already public, and says an entity that gives its agent false records can be fined up to $1,000 or jailed for up to six months, or both.

Changing or losing your Wyoming registered agent

To change agent, 17-28-102 says you file a statement of change with your entity's name, the current and new office, the current and new agent, the new agent's written consent, confirmation that the new office and agent comply with the chapter, and the agent's email address.

If your agent resigns, 17-28-103 requires them to send you notice at least 30 days before filing the resignation. If no successor is named, you have 30 days after receiving the resignation to file a statement of change. Until then, service on your company goes to the Secretary of State, and the Secretary of State will classify the company as delinquent awaiting administrative dissolution or revocation. A commercial agent that fails to renew is treated as having resigned for the companies it serves.

If you operate in more than one state, the registered agent rules in Delaware is worth a read.

Penalties for agents

Under 17-28-109, the Secretary of State can impose a civil penalty of up to $500 for each violation, for each entity represented, and can deny or revoke a registration or refuse filings for companies served by an agent that fails to register, keep records, or can't be served at its office or email address. Frequently asked questions

Do I need a registered agent for a Wyoming LLC?

Yes. W.S. 17-28-101 requires every business entity, domestic or foreign, to continuously maintain a registered agent and a registered office at a Wyoming street address.

Can I be my own registered agent in Wyoming?

Only if you're at least 18, live in Wyoming, and your business office is the registered office where you're physically present to accept service. Most out-of-state owners use a commercial agent for that reason.

What is a commercial registered agent in Wyoming?

Anyone acting as registered agent for more than 10 entities. Under 17-28-105 they must register with the Secretary of State each year and can't have a felony conviction.

Does a Wyoming registered agent need an email address?

Yes. Section 17-28-101(e) requires each business entity and each registered agent to maintain an email address the Secretary of State can use to serve documents.

What happens if my Wyoming registered agent resigns?

The agent must give you at least 30 days' notice before filing. If no successor is named, you have 30 days to file a statement of change, and meanwhile the company is classified as delinquent awaiting administrative dissolution.
