Every Tennessee corporation and LLC files an annual report with the Tennessee Secretary of State. According to the Secretary of State's FAQ, a corporation pays $20, plus $20 more if it changes its registered agent or office, while an LLC pays between $300 and $3,000 depending on how many members it has, as of October 2026.
The Tennessee annual report is filed online through TNCaB, the Secretary of State's business portal. The form itself is short. What causes problems is the fee, which works very differently for corporations and LLCs, and a handful of rejection reasons that send reports back unfiled. Here's what the Secretary of State says.
Tennessee annual report fees, as of October 2026
| Entity | Annual report fee | Extra |
|---|---|---|
| Corporation | $20 | $20 more if the registered agent or office changes |
| LLC with up to 6 members | $300 | Minimum fee |
| LLC with more than 6 members | $50 more per member over 6 | Capped at $3,000 |
The LLC fee is where people get caught. Tennessee prices the LLC annual report by member count, so a growing LLC can see its bill rise year to year as new members join.
Working out an LLC's Tennessee annual report fee
The FAQ sets the rule: $300 minimum, plus $50 for every member over six, up to $3,000. Here's what that means in practice, as of October 2026:
| Number of members | Annual report fee |
|---|---|
| 1 to 6 | $300 |
| 7 | $350 |
| 8 | $400 |
| 10 | $500 |
| 60 or more | $3,000 (the cap) |
Count members carefully before you pay. The Secretary of State's top reason for rejecting an annual report is that the correct fee wasn't paid, and an LLC that paid the $300 minimum with eight members will have its report sent back.
Why Tennessee annual reports get rejected
The FAQ lists the most common reasons a report is rejected:
- The correct fee wasn't paid.
- For a corporation, an officer isn't listed.
- The board of directors isn't listed, and neither box is ticked to show the board is the same as the officers or that there are no directors.
- The report isn't signed or dated.
- A paper report isn't typed or filled out in ink.
A rejected report isn't a filed report, and the clock keeps running while you fix it. File early enough that a rejection can be corrected before the due date shown on your TNCaB record.
Change your address without paying twice
You can update your business address online through TNCaB, or by filing form SS-4800, which has no fee. A change of registered agent or principal address, though, needs articles of amendment and the statutory $20 filing fee. For a corporation, making that change on the annual report itself adds the $20 surcharge noted above. Our registered agent guide explains why that address matters so much.
What happens if you don't file
The Secretary of State lists failure to file an annual report as the first reason an entity is administratively dissolved, alongside being without a registered agent, a foreign entity losing its assumed name to a name conflict, and a payment returned by a bank. A dissolved company shows as inactive in the Business Information Search, and anyone who checks your filing history can see it.
To come back, you file an application for reinstatement following administrative dissolution, form SS-9410, which costs $70, as of October 2026. Before the Secretary of State will reinstate, you need a certificate of tax clearance from the Tennessee Department of Revenue. You also need a tax clearance to get a certificate of existence, which is the document that shows a company is active and in good standing, and to terminate or withdraw an entity.

Corporation or LLC: what the annual report gap means
The difference in annual report fees is one of the clearest cost gaps between Tennessee entity types. A corporation's report stays at $20 a year however many shareholders it has, as of October 2026. An LLC's report starts at $300 and climbs with every member over six. For a solo founder that's a $280 a year difference before any tax is counted. For a business with dozens of owners, the LLC report can reach the $3,000 cap. Fees aren't the only factor when choosing a structure, but they're easy to overlook, and our comparison of S corp vs LLC covers the tax side.
How to file a Tennessee annual report
- Create or sign in to your TNCaB account. The Secretary of State asks filers to set up an account before filing online.
- Check the due date and the details on your entity's record.
- Confirm your officers and directors, or for an LLC, your member count.
- Pay the correct fee: $20 for a corporation, or the member-based fee for an LLC.
- Keep a copy, and check the filing history shows the report as filed.
Tennessee annual report verdict
For a corporation, the Tennessee annual report is cheap at $20 as of October 2026. For an LLC, budget at least $300 and recount your members every year, because that's what sets the fee. File early, list every officer, and keep your tax accounts clean so that a tax clearance is never what's holding you up. For other states, see our LLC annual report guide.
