Nevada LLC: the $75 Articles, the $150 List You File on Day One and the Anniversary Deadline Every Year After

To form a Nevada LLC, you file articles of organization with the Nevada Secretary of State, which costs $75 under NRS 86.561, as of October 2026. At the same time you must file an initial list of managers or managing members for $150, and then a $150 annual list by the last day of your anniversary month every year.

Nevada is often sold as a cheap place to form an LLC. The articles fee is low, but the list fee that comes with it doubles the opening bill, and it repeats every year. Here's what Chapter 86 of the Nevada Revised Statutes requires, so you can budget before you file.

Nevada LLC fees in NRS 86.561 and 86.263

FilingFeeStatute
Original articles of organization$75NRS 86.561(1)(a)
Initial list of managers or managing members$150NRS 86.263(4)(a)
Each annual list$150NRS 86.263(4)(b)
Penalty added when a list is late$75NRS 86.272(3)
Name reservation$25NRS 86.561(1)(f)
Amending or restating the articles$175NRS 86.561(1)(b)
Articles of dissolution$100NRS 86.561(1)(c)
Certified copy of the articles$30NRS 86.561(1)(d)
Service of process on the Secretary as agent$100NRS 86.561(2)

All fees are as of October 2026. The opening cost is the $75 articles plus the $150 initial list, so $225 before any other licences. Section 86.561(3) also says the general fees in NRS 78.785 apply where Chapter 86 doesn't set its own, so check the Secretary of State's checkout total for anything extra.

The initial list is due the same day as the articles

This is the part founders miss. NRS 86.263(1) says the LLC must file its list at the time it files its articles of organization, unless it's chosen an alternative due date. The list has to give:

  • The LLC's name and its file number, if known.
  • The names and titles of all its managers, or if there's no manager, all its managing members.
  • A residence or business address for each person listed.
  • A signature from a manager, managing member or someone authorised to sign, certifying the list is true, complete and accurate.

Each list also needs a declaration under penalty of perjury, so the names aren't optional detail. If you're forming through an agent, make sure they're filing the list with the articles rather than treating it as a later job.

The annual list deadline: the last day of your anniversary month

After the first year, NRS 86.263(2) says the list is due on or before the last day of the month in which the LLC's anniversary date falls. Form an LLC on 10 March and every list after that is due by 31 March. The Secretary of State sends a notice 90 days before the deadline to the LLC's registered agent, so keep your agent's details current or the reminder goes nowhere.

Filing early doesn't always count. A list received more than 90 days before its due date is treated as an amended list for the previous year, not as this year's filing. Aim for the 90 days before the deadline, not earlier.

What happens if you miss the Nevada annual list

An LLC that doesn't file the list and pay the fee on time is in default under NRS 86.272. A $75 penalty is added to the fee, as of October 2026. The Secretary of State then writes to the registered agent with the amount due. Under NRS 86.274, if it's still unpaid on the first anniversary of the month after the filing was required, the LLC's charter is revoked, and reinstatement means more paperwork and fees. A simple calendar reminder is far cheaper.

Choosing an alternative due date

NRS 86.263(12) lets the Secretary of State allow an LLC to pick an alternative due date for its list. If you choose one, the initial list is due on or before that date instead of with the articles, and each annual list is due by the last day of the month in which that date's anniversary falls. It's useful if you run several companies and want their lists to fall in the same month, or if your anniversary lands in your busiest season.

How to form a Nevada LLC, step by step

  1. Check the name is free, and reserve it for $25 if you need time, as of October 2026.
  2. Appoint a Nevada registered agent, since that's where the state sends its 90-day notices.
  3. File the articles of organization for $75 and the initial list of managers or managing members for $150.
  4. Sign the list's declaration under penalty of perjury and check every name and address on it.
  5. Put the last day of your anniversary month in your calendar for the annual list.
  6. Check which state and local licences your business needs before you trade.

Other Nevada costs to check

Chapter 86 covers the LLC filings only. Licences are a separate question, covered in our Nevada business licence guide. If you'll run the company from another state, you'll probably need to register there as a foreign LLC too, which adds that state's fees on top.

Nevada LLC verdict

A Nevada LLC is cheap to file but not cheap to keep. Budget $225 to open as of October 2026, $150 every year after that, and diary the last day of your anniversary month. File the initial list with the articles, keep a registered agent who'll forward the 90-day notice, and you'll stay clear of the $75 penalty and a revoked charter.
