Form 8308: Reporting the Sale of a Partnership Interest

Form 8308 is filed by a partnership, not the partner, when a partner sells or exchanges all or part of their interest and some of what they receive is attributable to unrealized receivables or inventory items. That's called a section 751(a) exchange, and it means part of the seller's gain is taxed as ordinary income rather than capital gain.

Everything below comes from the IRS Instructions for Form 8308 (Rev. November 2025) and the October 2024 Form 8308, as of October 2026.

When a partnership has to file

A partnership files a separate Form 8308 for each section 751(a) exchange of an interest in it. The duty starts once the partnership has notice of the exchange, and it has notice in either of two ways:

  1. It receives written notification from the seller (the transferor) giving the names and addresses of both parties, the seller's identifying number, the buyer's identifying number if known, and the date of the exchange.
  2. It knows a partnership interest was transferred and, at the time, the partnership had unrealized receivables or inventory items.

Two situations take the form off the table. No Form 8308 is needed if a broker has to file Form 1099-B for the sale under section 6045. And a transfer that's entirely a gift for federal income tax purposes isn't a section 751(a) exchange at all.

The part people miss: "hot assets" are wider than they sound

Unrealized receivables aren't just unpaid invoices. The instructions count rights to payment for services rendered or goods delivered, but they also count the gain that would be ordinary income if certain property were sold on the exchange date. That list includes section 1245 property, section 1250 property, franchises, trademarks or trade names, farm recapture property, and stock of a controlled foreign corporation.

So a partnership that owns depreciated equipment can trigger Form 8308 even if every customer has paid up. Inventory items are broad too: they include anything that isn't a capital asset, and trade receivables of an accrual method partnership.

Key dates and who gets a copy

WhatWhenWho
Form 8308, Parts I to IIIBy January 31 of the year after the calendar year of the exchange, or 30 days after the partnership has notice if laterBoth the seller and the buyer
Form 8308, Parts I to IVWith Form 1065, by its due date including extensionsThe IRS
Seller's statementWith the seller's own return for the year of the saleThe IRS

The return it attaches to is the Form 1065 for the partnership tax year that includes the last day of the calendar year in which the exchange happened. The form is signed only when it's filed on its own, not with a Form 1065.

What changed in the November 2025 instructions

Partnerships no longer have to give the seller and buyer the Part IV figures by January 31. They still furnish Parts I, II and III by that date, and the copy filed with Form 1065 still needs all four parts. The seller gets the Part IV numbers on Schedule K-1 instead.

The four parts of the form

PartWhat goes in it
Part I, TransferorThe beneficial owner of the interest immediately before the transfer, with a box to flag a foreign transferor
Part II, TransfereeThe beneficial owner immediately after the transfer
Part III, TransferThe date of the sale or exchange and the type of interest: capital, preferred, profits or other
Part IV, Partner's share of gainSection 751(a) gain or loss, section 1(h)(5) collectibles gain and section 1(h)(6) unrecaptured section 1250 gain

The Part IV amounts in column (c) are reported to the selling partner in box 20 of Schedule K-1 using code AB for section 751(a) gain or loss, AC for collectibles gain and AD for unrecaptured section 1250 gain. Foreign transferors also get the figures on Schedule K-3, Part XIII.

What the selling partner has to do

The seller is required to tell the partnership about the exchange, unless a Form 1099-B has to be filed for it. They also attach a statement to their own return for the year of the sale showing:

  • the date of the sale or exchange,
  • the gain or loss attributable to the section 751(a) property, and
  • the gain or loss attributable to capital gain or loss on the sale of the interest.

If the K-1 and the Form 8308 don't agree, the instructions tell the seller to rely on the Schedule K-1 or K-3 and ask the partnership for a revised Form 8308.

When the exchange is reported late or wrong

If a partnership that isn't under the BBA audit regime hears about an exchange after filing, and the time for a superseding return has passed, it files Form 8308 with an amended Form 1065 within 30 days of notification and sends amended K-1s. A BBA partnership in the same position files an administrative adjustment request with Form 8308 attached instead.

If a partnership isn't sure whether it holds unrealized receivables or inventory, the instructions say it may file Form 8308 anyway to avoid the risk of a failure-to-file penalty. It may also rely on a written statement from the seller that the transfer wasn't a section 751(a) exchange, unless it knows otherwise.

Penalties

Penalties can apply to each failure to file a correct Form 8308 on time and each failure to give the seller or buyer a correct copy, including for missing or incorrect information. They can be waived for reasonable cause and not willful neglect, and they're increased for intentional disregard. The instructions point to sections 6721, 6722, 6724 and 6698.

The verdict

If your partnership owns depreciated assets, receivables or stock in trade and a partner sells out, assume Form 8308 applies until you've checked the list of hot assets. Get the seller's written notice on file, diary the January 31 copies, and make sure the K-1 codes AB, AC and AD match the form. That one check saves the seller from reporting the whole gain as capital gain and getting it wrong.

Frequently asked questions

Who files Form 8308?

The partnership files it, for each section 751(a) exchange of an interest in that partnership. The selling partner doesn't file it, but must notify the partnership and attach their own statement to their return.

When is Form 8308 due?

It's attached to Form 1065 and due with that return, including extensions. Copies with Parts I to III go to the seller and buyer by January 31 of the following year, or 30 days after notice if later.

Is Form 8308 required if a Form 1099-B is filed?

No. Form 8308 doesn't have to be filed if a Form 1099-B is required under section 6045 for the sale or exchange.

What is a section 751(a) exchange?

It's a sale or exchange of all or part of a partnership interest where what's received is attributable to unrealized receivables or inventory items, so part of the gain is ordinary income.

What do K-1 box 20 codes AB, AC and AD mean?

They carry the Form 8308 Part IV amounts: AB is section 751(a) gain or loss, AC is section 1(h)(5) collectibles gain and AD is section 1(h)(6) unrecaptured section 1250 gain.

Does a gift of a partnership interest need Form 8308?

No. A transfer that's entirely a gift for federal income tax purposes isn't a section 751(a) exchange.
