Form 1065 is the US Return of Partnership Income: the annual information return every partnership files with the IRS to report its income, deductions, gains and losses. The partnership itself usually pays no income tax; it sends each partner a Schedule K-1 showing their share, and the partners pay the tax on their own returns.
If you've set up an LLC with a business partner and never chose a tax classification, this is probably your form. That's the bit people miss, so let's start there.
Who has to file Form 1065
Partnerships file it. The surprise for a lot of small business owners is what counts as a partnership. Under the IRS default rule set out in the Form 8832 instructions, a domestic eligible entity with two or more members is treated as a partnership unless it elects otherwise. So a two-person LLC that never filed an election is a partnership for federal tax, even though it's an LLC under state law.
| Your setup | Default federal tax treatment | Return it files |
|---|---|---|
| LLC with two or more members, no election | Partnership | Form 1065 |
| LLC with one member, no election | Disregarded entity (taxed with its owner) | Usually none of its own |
| LLC that elected to be taxed as a corporation | Corporation | Form 1120, or Form 1120-S if it also elected S status |
| General or limited partnership | Partnership | Form 1065 |
If that table changes your answer, the election that moves you from one row to another is made on Form 8832 (or Form 2553 for S corporation status).
When Form 1065 is due
The IRS instructions say a domestic partnership must file by the 15th day of the 3rd month after its tax year ends. For a calendar-year partnership that's 15 March. When the date falls on a weekend or legal holiday, the next business day counts, which is why the 2025 returns could be filed on time by 16 March 2026.
Need longer? File Form 7004 by the regular due date. It's an automatic extension of the time to file, and it can be filed electronically.
What goes in the package
- Form 1065 itself, all six pages. The IRS says Schedules L, M-1 and M-2 on page 6 become optional if the partnership answers yes to Schedule B question 4.
- A Schedule K-1 for each partner, with a copy filed with the IRS and a copy given to the partner.
- Schedules K-2 and K-3 where they apply, plus any other forms the instructions list, in the order the IRS sets out.
- Schedule M-3 instead of M-1 if the partnership has total assets of $10 million or more, total receipts of $35 million or more, or meets the other M-3 tests.
One practical rule from the instructions that saves rejections: complete every applicable entry space, and don't write "See attached" instead of filling a line in. Penalties can apply to an incomplete return.
E-filing rules
Beginning in 2024, a partnership must file electronically if it files 10 or more returns of any type in the year, and that count includes information returns and employment tax returns, not just the 1065. Partnerships with more than 100 partners have to e-file Form 1065 and the K-1s whatever else they file. A small partnership that issues a handful of 1099s and runs quarterly payroll can hit 10 returns faster than you'd expect.
The penalty that catches small partnerships
This is the figure that makes Form 1065 worth taking seriously even when the partnership owes no tax. As of October 2026, the IRS instructions set the late filing penalty at $255 for each month or part of a month the return is late, for up to 12 months, multiplied by the number of partners.
| Example | How the penalty builds (as of October 2026) |
|---|---|
| Two partners, 1 month late | $255 x 1 month x 2 partners |
| Two partners, 3 months late | $255 x 3 months x 2 partners |
| Four partners, 12 months late | $255 x 12 months x 4 partners |
There's a separate penalty for the K-1s too: as of October 2026, $340 for each Schedule K-1 not furnished to a partner on time or furnished with missing or wrong information. So a late return can cost you twice. The IRS does allow a reasonable-cause explanation, but it tells you not to attach it to the return; you send it after you get a penalty notice.

Common mistakes to avoid
- Assuming no profit means no return. Form 1065 is an information return, so the filing duty doesn't depend on tax being owed.
- Not having an EIN in time. If it hasn't arrived by the due date, the IRS says to write "Applied for" and the application date in the EIN space.
- Partners changing figures themselves. Errors on a K-1 get fixed by the partnership issuing a corrected K-1, not by a partner editing their copy.
- Filing more than one return. The IRS says to file only one Form 1065 for each partnership and mark any copy you give a partner "Duplicate Copy".
If you're still deciding on structure, my comparison of an LLC versus a sole proprietorship covers the trade-offs before the paperwork starts.
My verdict
Form 1065 isn't hard, but the penalty multiplies with every partner, so it's the one return a small partnership can't afford to forget. Diarise 15 March, file Form 7004 if the books won't be ready, and get the K-1s out at the same time. If you're doing it yourself rather than through an accountant, pick from the tax software built for self-employed people that supports partnership returns.
