Form 8974 is where a qualified small business works out how much of its research credit it can use against payroll tax each quarter. It's attached to Form 941, 943 or 944, but only after the business has elected the payroll tax credit on Form 6765 with a timely filed income tax return.
Every figure here comes from the IRS Instructions for Form 8974 (Rev. December 2024) and the December 2024 Form 8974, as of October 2026.
How much of the credit can go against payroll tax
| Tax years beginning | Maximum payroll tax election |
|---|---|
| Before January 1, 2023 | $250,000 |
| After December 31, 2022 | $500,000, as increased by the Inflation Reduction Act of 2022 |
From the first quarter of 2023, the credit first reduces the employer share of social security tax, up to $250,000 per quarter. Anything left then reduces the employer share of Medicare tax for the quarter. Whatever's still unused carries forward to the next quarter.
The two-step process
- Elect on Form 6765, Credit for Increasing Research Activities, attached to an original income tax return filed on time, including extensions. The amount to bring across is on Form 6765, line 36 (line 44 for income tax years beginning before January 1, 2024).
- File Form 8974 with your payroll return for the right quarter to turn that election into a quarterly reduction of payroll tax.
Miss the first step and the second can't happen. The instructions are blunt: if you haven't filed the income tax return making the election on Form 6765, you can't file Form 8974 or claim the credit on your payroll return.
The timing rule that decides when you see the benefit
The credit can first be claimed on the payroll return for the quarter that begins after you file the income tax return with the election. The IRS example: a calendar-year business that files its 2024 income tax return on March 17, 2025 first claims the credit on its 2025 second-quarter Form 941, covering April 1 to June 30, 2025, which is filed by July 31, 2025.
Here's what people miss. Because the quarter is set by the filing date of the income tax return, filing that return early brings the payroll benefit forward. Filing it on extension in the autumn pushes the first usable quarter back by months.
Quarterly or annual payroll filers
| Payroll return | Where Form 8974 goes |
|---|---|
| Form 941 (quarterly) | The Form 941 for the first quarter that begins after the income tax return is filed |
| Form 943 (annual, agricultural) | The Form 943 for the year that includes that quarter |
| Form 944 (annual) | The Form 944 for the year that includes that quarter |
You can't move the credit to a different quarter's or year's payroll return, except to take a carryforward that Form 8974 itself works out.
Payroll agents and PEOs
A section 3504 agent or certified professional employer organization filing an aggregate Form 941 or 943 completes Schedule R to allocate amounts to clients. Other third-party payers that file aggregate returns, such as non-certified PEOs, must also complete Schedule R if any client claims the credit. In every case, a separate Form 8974 is attached for each client taking it, and each client must have made its own election on Form 6765.
Who can't use Form 8974
The form isn't a shortcut for any business with research costs. It only works if all of these are true:
- the business is a qualified small business for the research credit,
- it made the payroll tax election on Form 6765,
- that Form 6765 was attached to an original income tax return filed on time, including extensions, and
- that income tax return has already been filed before the payroll quarter you're claiming in.
An election can't be added on a late or amended return, which is why the original filing deadline matters so much here. If you're not sure the business qualifies, settle that question on the Form 6765 side before you plan around any payroll saving.
A quick checklist each quarter
- Take the elected amount from Form 6765 and any carryforward from last quarter's Form 8974.
- Apply it to the employer share of social security tax, up to $250,000 for the quarter.
- Apply what's left to the employer share of Medicare tax.
- Carry anything still unused to next quarter's Form 8974.
- Attach Form 8974 to the payroll return and keep a copy with your research credit file.
Fixing a mistake
If you find an error on a Form 8974 you've already filed, correct it with Form 941-X, 943-X or 944-X and attach a corrected Form 8974. There's no separate amended Form 8974.

Forms in Spanish
The election authority carries over to related forms, including the Spanish-language versions. So Form 8974 can support a claim made on Form 941 (sp) using the entry spaces for Form 941.
The verdict
For a young company spending on research but not yet paying income tax, this is one of the few credits that turns into cash flow straight away, through lower payroll tax. The value depends on the order you do things: elect on Form 6765 with a return filed on time, file that return as early as you can, and attach Form 8974 to the very next quarter's payroll return. Treat it as a quarterly routine, not a one-off, because unused credit rolls forward and has to be picked up again each quarter.
