In Tennessee, a business license comes from your county and/or city clerk, and it's tied to the state business tax. If your gross receipts are $100,000 or more, you register for business tax with the Department of Revenue, then pay a separate $15 license fee to the clerk, as of October 2026. Between $3,000 and $100,000, you need a minimal activity license instead.
Tennessee's system confuses people because two different offices are involved: the state Department of Revenue handles the tax, and local clerks issue the license itself. Here's how the pieces fit, from the Department of Revenue's own pages.
Which license you need
| Your gross receipts at an in-state location | What you need |
|---|---|
| $3,000 or less | No business license under these rules |
| More than $3,000 but less than $100,000 | A minimal activity license from your county and/or municipal clerk |
| $100,000 or more | A standard business license from the clerk, plus business tax registration and returns |
You're not allowed to operate until the required license is obtained and posted at your business location. The $100,000 thresholds come from Public Chapter 377 (2023) and apply to tax years ending on or after December 31, 2023.
Business tax: two taxes, one return date
Business tax is a tax on gross receipts, and it's made up of the state business tax and a city business tax. If your location is in a city that has enacted the business tax, you owe that too. The Department of Revenue warns that its map of cities and counties isn't the final word, because many areas are governed by an adjoining incorporated city.
- The return is due on the 15th day of the fourth month after your fiscal year ends. For a calendar year, that's April 15.
- Every taxpayer pays at least the minimum tax of $22, as of October 2026.
- Registration is through the Tennessee Taxpayer Access Point (TNTAP) and takes up to 10 business days.
Business tax rates by classification
Your classification is set by your dominant business activity at each location, and it decides the rate you apply to all taxable sales there. The rates below are decimal multipliers of gross receipts, from the Department of Revenue:
| Classification | Retailer rate | Wholesaler rate |
|---|---|---|
| Class 1A | 0.001 | 0.00025 |
| Class 1B and 1C | 0.001 | 0.000375 |
| Class 2 | 0.0015 | 0.000375 |
| Class 3 (mostly services) | 0.001875 | 0.000375 |
| Class 4 (contractors) | 0.001 general rate | 0.001 general rate |
Class 1D covers retail fuel and Class 1E wholesale fuel, with their own rates, and Class 5 covers specialist categories. Class 3 is where most service businesses land, though 16 specific services are exempt by statute and only those 16 qualify.
What reduces the bill
This is the part people miss. In-state taxpayers can take a credit for personal property tax paid, worth up to 50% of their business tax, as long as the property is at the same location. Deductions include cash discounts, trade-ins, amounts a contractor pays a licensed subcontractor, bad debts and services received by customers outside the state.
Who's exempt
Certain entities don't pay business tax at all. The Department of Revenue lists people acting as employees, manufacturers, religious and charitable entities selling donated items, direct-to-home satellite providers and movie theaters, plus, in very limited circumstances, certain people who are blind and certain disabled former members of the armed forces. Federal and some state excise taxes can also be deducted. One recent change worth knowing: the Class 5A rate dropped from 0.003 to 0.001 under Public Chapter 377 (2023), for tax years beginning on or after December 31, 2023.
Out-of-state sellers
If you're based outside Tennessee but have substantial nexus, you register with the Department of Revenue and pay business tax on gross receipts of $100,000 or more in any county. You don't need a local business license from a county. Out-of-state contractors follow separate rules.
How to get a Tennessee business license, step by step
- Work out your expected gross receipts per location against the $3,000 and $100,000 lines.
- If you're at $100,000 or more, register for business tax on TNTAP and allow up to 10 business days.
- Contact your county and/or municipal clerk, pay the $15 license fee for each new business, and collect the license.
- Post the license at your business location before you trade.
- Diarise the return for the 15th day of the fourth month after your year end.
If you sell goods, you'll usually register for sales tax as well. My guide on whether you need a business license covers the wider question, and if you hire, my page on the Tennessee minimum wage has the pay rules.
My verdict
For most small Tennessee businesses the license is cheap and the tax is modest: a $15 clerk fee and a $22 minimum, as of October 2026. The real work is knowing which side of $100,000 you're on and whether your city has its own business tax. Check both before you open, and claim the property tax credit if you own equipment.
