Oregon LLC: $100 to Form, $100 to Renew and the Free Request That Keeps Your Home Address Private

To form an Oregon LLC, you file articles of organization with the Oregon Secretary of State's Corporation Division and pay $100, as of October 2026. You then renew every year with an annual report that also costs $100, and you need a registered agent with a physical street address in Oregon.

Oregon's Business Registry is straightforward, but two things catch people out: everything you file becomes public record, and missing a renewal can get the company dissolved. Here's what the Secretary of State's fee schedule and guidance pages say.

Oregon LLC fees on the Business Registry schedule

All fees are paid in advance and are nonrefundable. These are the LLC fees on the schedule, as of October 2026:

FilingFee
Articles of organization (Oregon LLC)$100
Articles of amendment or dissolution$100
Restated articles$100
Annual renewal$100
Foreign LLC application for authority$275
Foreign LLC annual renewal$275
Name reservation$100
Change of registered agent or address$0
Amendment to annual report$0
Request for nondisclosure of home address and phone number$0
Optional confirmation copy$5

The free items are the useful ones. You can change your registered agent or amend your annual report without paying anything, as of October 2026, so there's no cost reason to leave stale details on file.

Your Oregon filing is public, so think before you use a home address

The Secretary of State warns that the information you submit becomes public record, and that registrations can be searched by individual name as well as by business name. For that reason it suggests you may want to avoid using a home address.

Here's the insight most people miss: the fee schedule lists a request for nondisclosure of home address and phone number at $0, as of October 2026. If you run the LLC from home, that free request is worth looking at before you file anything else.

The Oregon registered agent rule

All business entities in Oregon must appoint and maintain a registered agent who has a physical street address in Oregon. The Secretary of State suggests learning what a registered agent is and who qualifies before you register. The agent is where legal papers go, so it has to be someone reliable at a real address, not a mailbox.

One practical note from the same page: Oregon doesn't accept forms or payments by email, because it isn't secure. File online, or mail forms to the Corporation Division if online filing isn't an option.

Renewing an Oregon LLC every year

  1. Watch for the renewal notice. The Secretary of State mails it about 45 days before the due date.
  2. Go to the Business Registry online renewal, choose to renew an existing business and enter your email and registry number.
  3. Retrieve the renewal detail, start the renewal and update any information that's changed.
  4. Sign, submit and pay by credit card. Online, it's done within minutes and you get emailed confirmations with a copy of the filed report.
  5. If you prefer paper, print the renewal form from the registry, correct any details by hand and mail it with payment.

If you miss it: reinstating a dissolved Oregon LLC

An Oregon business can be administratively dissolved for failing to file its annual report. If it's been dissolved for less than five years, you can reinstate it online or on a paper form. You correct any inaccurate information and pay a reinstatement fee along with the annual fees you missed.

Two conditions apply. The name must still be available, and you must meet the address requirements. If someone has taken your name in the meantime, you'll have to change it to reinstate. Reinstating after more than five years needs special forms and documentation.

Assumed business names in Oregon

If your LLC trades under a different name, that's an assumed business name. On the fee schedule, a new registration costs $50 and it renews every two years for $50, as of October 2026. It sits on its own renewal cycle, separate from the LLC's yearly renewal, so diary both.

A different state or filing type is covered in the Minnesota LLC guide.

How to start an LLC in Oregon, step by step

  1. Choose a name and check it's available.
  2. Pick a registered agent with a physical street address in Oregon.
  3. Decide which address to put on the public record, and consider the free nondisclosure request.
  4. File your articles of organization online and pay $100, as of October 2026.
  5. Sign an operating agreement.
  6. Diary your yearly renewal and, if you hire, check the Oregon minimum wage.

My verdict on an Oregon LLC

Oregon is easy to budget for: $100 to form and $100 a year to renew, as of October 2026. The smart moves cost nothing. Keep your agent and address current for free, protect your home address with the nondisclosure request, and renew online when the 45-day notice arrives so the company never lapses.
