Louisiana Annual Report: $35 a Year, the 30-Day Revocation Notice and the Name You Can Lose for 3 Years

Every Louisiana corporation, LLC and partnership registered with the Louisiana Secretary of State files an annual report every year, even if nothing has changed. The fee is $35, or $10 for a nonprofit, on the fee schedule that took effect on October 1, 2026.

The Secretary of State's own FAQ is blunt about it: the yearly filing is a requirement, and it has to be signed by the right person. The real cost of getting it wrong isn't the fee. It's what happens after the state's warning letter, and what happens to your name.

Louisiana annual report fees from October 1, 2026

Act 921 of the 2026 Regular Legislative Session raised the Commercial Division's fees from October 1, 2026. The annual report fees on the new schedule are:

EntityAnnual report fee
Louisiana business corporation$35
Louisiana nonprofit corporation$10
Louisiana LLC$35
Louisiana partnership$35
Foreign corporation$35
Foreign LLC$35

How to file a Louisiana annual report

  1. Search your business in the Commercial Database on the Secretary of State's website, using the name without the ending such as L.L.C. or Inc.
  2. Open the details for your business. When the report is due, or up to four weeks before the due date, you'll see a bar offering the annual report form.
  3. File online, or print the form, sign it and return it by fax or mail.
  4. Pay the fee for your entity type.

You must send the report back even if nothing has changed. If something has, the annual report is a handy place to fix it: when your report is due or past due, you can change your registered agent, members, managers, officers or directors on the report itself rather than filing a separate change form, which costs $30 on the new schedule, as of October 2026.

The 30-day Notice of Intent to Revoke

Miss the report and the Secretary of State sends a Notice of Intent to Revoke. From the date of that notice, you have:

  • 30 days to file a completed annual report for a Louisiana corporation or LLC.
  • 60 days if it's a foreign corporation or LLC.

If you don't, your charter is revoked. The notice goes to the address on record, so a stale address is an easy way for a healthy business to miss it.

What reinstatement costs

Once a charter is revoked, you need a reinstatement form, and the FAQ warns the fees are significantly higher than an annual report. For a Louisiana corporation, the current fee schedule lists reinstatement at $95 plus an additional $35 for each annual report due, as of October 2026. Every year you leave it, the bill grows.

The name you can lose for three years

This is the part people miss. The Secretary of State's FAQ says that when a domestic or foreign corporation or company is revoked, its name isn't available until three years after the revocation date. If someone else files for it once that window passes, you could lose a name you've built a brand on. Filing a $35 report each year is a cheap way to keep it.

Closing instead of reporting

If your business has stopped trading, filing an annual report every year to keep a dead company alive doesn't make sense. The Secretary of State's FAQ says a corporation or company that's no longer doing business, owes no debts, has no assets and has no immovable property can be dissolved by affidavit, online or on the form in the fee schedule section. For an LLC, the affidavit to dissolve costs $125 on the new schedule, as of October 2026.

That's a one-off cost, set against $35 every year plus the risk of revocation if you forget. If you're sure the business is finished and clean, closing it ends the cycle.

Many founders compare states, and the Delaware registered agent guide looks at one more.

Annual report fees compared with other Louisiana filings

The annual report is the cheapest regular filing on the schedule. For comparison, on the October 2026 schedule a change of registered office or agent for an LLC costs $30, certified copies cost $20 and additional certificates cost $25. Making your changes on the annual report when it's due is the most economical way to keep your record right.

A different state or filing type is covered in the rules for an LLC in Arkansas.

Other things to know

  • DBAs aren't filed with the Secretary of State. They're filed at parish level with the local Clerk of Court.
  • All business registrations need an agent with a physical address in Louisiana, and the agent's name and address are public.
  • Certificates and certified copies can be ordered online, and the code on them lets you print copies for 120 days.

My verdict on the Louisiana report

It's $35 a year, as of October 2026, and it takes minutes online. Keep your address current so a Notice of Intent to Revoke reaches you, file within 30 days if one arrives, and remember that revocation can cost you your name for three years. If you employ staff in the state, the Louisiana minimum wage guide covers the pay side.
