Form W-8ECI is the certificate a foreign person or entity gives a US payer to say that the income being paid is effectively connected with a trade or business they carry on in the United States. Without it, US-source income paid to foreign persons generally faces 30% withholding; with it, the income is taxed at graduated rates on the annual US return instead. You give it to the payer, not the IRS.
This guide follows Form W-8ECI and its instructions (both Rev. October 2021), as of October 2026.
When W-8ECI is the right form
The instructions say you must give W-8ECI to the withholding agent or payer if you're a foreign person who's the beneficial owner of US-source income that is, or is deemed to be, effectively connected with a US trade or business. A foreign partnership or foreign trust engaged in a US trade or business can also submit it for its owners, partners or beneficiaries without attaching their own W-8 forms. If the same payer sends you both connected and unconnected income, you give W-8ECI for the connected income and W-8BEN-E or W-8BEN for the rest.
W-8ECI compared with the other W-8 forms
| Situation | Form |
|---|---|
| Income effectively connected with your US trade or business | W-8ECI |
| Claiming foreign status or treaty benefits on income that isn't effectively connected | W-8BEN or W-8BEN-E |
| Acting as an intermediary, agent, nominee or custodian | W-8IMY |
| Foreign government or tax-exempt body claiming a specific exemption | W-8EXP |
| Nonresident alien claiming exemption on pay for personal services | Form 8233 or W-4 |
| Proceeds from selling a US real property interest | Form 8288-B |
The intermediary case is covered in detail in the Form W-8IMY guide. The personal services exclusion matters: the instructions say the W-8ECI withholding exception doesn't apply to personal services income performed by an individual.
What effectively connected income means
Generally, when a foreign person carries on a US trade or business, all US-source income other than fixed or periodical income such as interest, dividends and rents counts as effectively connected. Those passive types may or may not be. The instructions name two factors: whether the income comes from assets used or held for use in the business, and whether the business's activities were a material factor in earning it.
The lines that matter
| Line | What goes on it |
|---|---|
| 1 to 4 | Name of the beneficial owner, country of incorporation, any disregarded entity, and entity type |
| 5 | Permanent residence address (no P.O. box or in-care-of address) |
| 6 | Business address in the United States |
| 7 | US taxpayer identification number: SSN, ITIN or EIN. It's required |
| 8a and 8b | Foreign tax identifying number, or a tick if one isn't legally required |
| 11 | Each item of income that's effectively connected, with a statement if needed |
| 12 | Securities dealer certification for publicly traded partnership transfers |
Line 7 is where most foreign sellers get stuck. The form marks the US TIN as required, so an individual without an SSN needs an ITIN first, and an entity needs an EIN, before the form can be completed.
The return you're signing up for
The form itself warns that anyone submitting it must file an annual US income tax return to report the income claimed as effectively connected. That's the trade-off: no 30% withholding at source, but the income is taxed at graduated rates after allowable deductions. Nonresident individuals report it on Form 1040-NR.
Partnerships are different
If you give W-8ECI to a partnership, the instructions say the connected income is subject to withholding under section 1446(a). The rate on a partner's share of effectively connected taxable income is 21% for corporate partners and 37% for other taxable partners. Separately, section 1446(f) generally requires a buyer of a partnership interest from a foreign seller to withhold 10% of the amount realised, and line 12 lets qualifying foreign securities dealers claim the exception for publicly traded partnership interests.
How long it lasts
- Generally valid from the date you sign until the last day of the third calendar year after that. The IRS example is a form signed on September 30, 2020, valid through December 31, 2023.
- If something changes and the form becomes incorrect, tell the payer within 30 days and give a new form.
- If income stops being effectively connected, the W-8ECI is no longer valid and you switch to W-8BEN, W-8BEN-E, W-8EXP or W-8IMY.
- Give a separate W-8ECI to each withholding agent, before the payment is made, credited or allocated.
What happens if you don't send it
If a payer asks and you don't provide the form, the instructions say the withholding agent must withhold at the 30% rate or the backup withholding rate. Tax withheld can generally be credited when you file your US return, but that ties up cash until then, so get the form in before the first payment.
US branches of foreign banks and insurers
The instructions add a presumption for one group. A payment to a US branch of a foreign bank or foreign insurance company that's regulated by the Federal Reserve Board or state insurance authorities is presumed to be effectively connected if the withholding agent has an EIN provided by the branch. The presumption doesn't apply if the branch gives the withholding agent a W-8BEN-E for that income instead.

The verdict
W-8ECI is for foreign businesses and individuals with a real US trade or business, and it's a commitment as much as a relief. Get your ITIN or EIN sorted first, list each type of connected income on line 11, give one form to every payer, and plan for the annual US return the form says you'll file.
Frequently asked questions
What is Form W-8ECI used for?
A foreign person gives it to a US payer to claim that income is effectively connected with a US trade or business, so the 30% withholding doesn't apply.
Do I send Form W-8ECI to the IRS?
No. Give it to the withholding agent or payer who asks for it.
Do I need a US TIN for Form W-8ECI?
Yes. Line 7 requires a US taxpayer identification number: an SSN, ITIN or EIN.
How long is Form W-8ECI valid?
Generally from the date it's signed until the last day of the third succeeding calendar year, unless a change in circumstances makes it incorrect.
What's the difference between W-8ECI and W-8BEN-E?
W-8ECI is for effectively connected income. W-8BEN-E is for claiming foreign status or treaty benefits on income that isn't effectively connected.
Is a US tax return required if I use W-8ECI?
Yes. Persons submitting Form W-8ECI must file an annual US income tax return to report the effectively connected income.
