Wisconsin LLCs file an annual report with the Department of Financial Institutions (DFI) every year, during the calendar quarter that holds the anniversary of their articles. The report costs $25 online or $40 on paper, as of October 2026, for a domestic LLC. A foreign LLC pays $65 online.
The annual report is the one filing that keeps a Wisconsin entity's record current. For LLCs, the rules sit in section 183.0212 of the Wisconsin Statutes, and the fees in section 183.0122 and on DFI's fee page. Here's what they say, and the free shortcut hiding in subsection 5.
When the Wisconsin annual report is due
- A domestic LLC files in each year after the year its articles took effect, during the calendar quarter that contains the anniversary of the effective date.
- A registered foreign LLC files during the first calendar quarter of each year after the year it registered to do business in Wisconsin.
- Nothing is due in the calendar year the LLC was formed.
So an LLC whose articles took effect in August files every year between July and September, starting the following year. Work out your quarter once and put it in the calendar.
Wisconsin annual report fees
As of October 2026:
| Entity | Online | Paper |
|---|---|---|
| Domestic LLC | $25 | $40 |
| Foreign LLC | $65 | not set in the statute |
Section 183.0122 sets the domestic LLC report at $25 and the foreign LLC report at $65, and lets DFI charge more for paper. Filing online is the cheaper route for both.
What a Wisconsin LLC annual report must state
- The name of the company.
- The street address of its registered agent in Wisconsin, plus the agent's name and email address at that office.
- The street address of its principal office.
- If it's member-managed, the name of at least one member.
- If it's manager-managed, the name of at least one manager.
- For a foreign company, the jurisdiction of its governing law and any fictitious name it uses in Wisconsin.
The information has to be current as of the date the report is signed.
The free agent change hidden in the report
This is the detail people miss. Under section 183.0212(5), if your annual report shows a registered office or registered agent that's different from DFI's records, that differing information is treated as a statement of change under section 183.0116. A standalone statement of change costs $10 online or $25 on paper, as of October 2026. If your report is due anyway, you can make the change on it.
If DFI sends your report back
If a report is missing required information, DFI must promptly notify you and return it for correction. If you correct it and deliver it within 30 days after the notice takes effect, the report counts as filed on time. Don't sit on a returned report, because the 30 days is what protects you.
How a missed report shows up
Under section 183.0211, anyone can ask DFI for a certificate of status for your LLC, and it has to say whether the company filed its annual report for its most recently completed report year. So a missed report isn't hidden. It appears on the very document a bank, landlord or buyer asks for when they want proof your company is in order, the Wisconsin version of a certificate of good standing.
Faster filing if you need it
DFI offers expedited processing for $100 next day, and at its Madison counter, four-hour processing for $250 or one-hour processing for $500, as of October 2026. For an annual report, standard online filing is usually quick enough.

Foreign LLCs file on a different clock
A registered foreign LLC doesn't use its anniversary quarter. It files during the first calendar quarter of each year after the year it registered to do business in Wisconsin, so every foreign LLC's report lands between January and March. The foreign report also asks for one extra item: the jurisdiction of its governing law, and any fictitious name it has adopted for use in Wisconsin. The fee is $65 under section 183.0122, as of October 2026.
If you run both a Wisconsin LLC and a foreign LLC registered in the state, that means two different filing windows each year. Put both in the calendar on the same day you form or register.

My verdict on the Wisconsin report
At $25 online, as of October 2026, it's one of the cheaper yearly filings, and it's quick. Learn your anniversary quarter, use the report to update your agent instead of paying for a separate change, and file it every year so your certificate of status stays clean.
