Missouri LLC: $45 Online or $100 on Paper, the Six Things the Articles Need and the Fee Waiver Few Know

To form a Missouri LLC, you file articles of organization with the Missouri Secretary of State. Under RSMo section 347.179, filing online costs $45 and filing on paper costs $100, as of October 2026, so the online route is less than half the price for exactly the same company.

Missouri's LLC law sits in Chapter 347 of the Revised Statutes, and it's short and readable. Two details are worth knowing before you file anything: the gap between the online and paper fee, and a waiver that wipes the filing fee out completely for some owners. Here's what the statutes and the Secretary of State's own guide say.

Missouri LLC fees, straight from RSMo 347.179

These are the fees the Secretary of State must charge under section 347.179, as of October 2026:

FilingFeeSubdivision
Articles of organization on paper$100Subsection 1, item 1
Articles of organization filed online$45Subsection 1, item 2
Registration of a foreign LLC$100Subsection 1, item 3
Amendment or restatement of the articles$20Subsection 1, item 4
Articles of termination$20Subsection 1, item 5
Notice of winding up$20Subsection 1, item 7
Certificate of good standing$5Subsection 1, item 8
Change of registered office or agent$5Subsection 1, item 12
Statement of correction$5Subsection 1, item 15
Copies of documentsfifty cents per pageSubsection 1, item 10

Notice how cheap the upkeep is. Changing your registered agent costs $5 and a good standing certificate costs $5, as of October 2026. The expensive mistake is filing the articles on paper when the online form does the same job.

The six things Missouri articles of organization must say

Section 347.039 lists what the articles have to set out:

  1. The name of the LLC.
  2. Its purpose, which can simply be any lawful business an LLC can carry on under Chapter 347.
  3. The address, including street and number, of the registered office, and the name of the registered agent at that office.
  4. Whether management is vested in managers or in members.
  5. The events that dissolve the LLC, or the number of years it'll exist, which can be any number or perpetual.
  6. The name and physical business or residence address of each organizer.

If you're setting up a series LLC, the same six items have to be given for each separate series. You can also add any other provision that's in your operating agreement, as long as it doesn't conflict with the law.

Who gets served if your Missouri agent can't be found

This is the part people miss. Under section 347.033, papers served on your registered agent count as lawful personal service on the LLC. If the agent can't be found, process can be served on an authorized person instead, and failing that, on an organizer.

If your LLC fails to appoint or keep a registered agent, and nobody else can be located with due diligence, the Secretary of State is automatically appointed as your agent for as long as the default lasts. That sounds like a safety net, but it means a lawsuit can be served on a state office while you hear nothing. Each service on the Secretary costs $20, as of October 2026, and the person suing can recover it as costs if they win. Keep a real agent on file and update it the day it changes.

The Missouri fee waiver for National Guard and active duty members

Section 347.179(2) waives the articles fee, online or paper, and the name reservation fee when three things are true:

  • An organizer who's listed as a member in the operating agreement is a member of the Missouri National Guard or other active duty military.
  • That organizer resides in Missouri.
  • They provide proof of service to the Secretary of State.

It's written into the statute, not a promotion, so it doesn't expire at the end of a campaign. If it applies to you, the formation filing costs nothing.

Missouri's optional preclearance check

The Secretary of State's guide says anyone can send a document in for a preclearance examination before filing it, for $55, as of October 2026. For a simple single-member LLC, that's more than the online filing itself, so most people won't need it. It earns its keep when your articles carry unusual provisions and you'd rather find a problem before the filing date matters.

The same guide gives a checklist before you file: every necessary party has signed, the correct fee is attached, and the entity name is spelled correctly. All names have to be distinguishable from names already in use or reserved.

How to start an LLC in Missouri, step by step

  1. Check your name is distinguishable from names already on file.
  2. Choose a registered agent with a street address in Missouri.
  3. Decide whether the LLC is member-managed or manager-managed, because the articles have to say which.
  4. File the articles of organization online for $45, as of October 2026, unless you've a reason to use paper.
  5. Sign your operating agreement.
  6. Register for state taxes and payroll. If you'll employ people, check the Missouri minimum wage before you set pay.

The general choices that come before any state filing, like how many members and who manages, are covered in my guide on how to start an LLC.

My verdict on forming in Missouri

Missouri is one of the easier states to read: six items, one form and a statute that names every fee. File online and you'll pay $45 rather than $100, as of October 2026. Then treat the registered agent as the thing that keeps you in the loop, because if it lapses, the Secretary of State takes your papers and you won't be the first to know.
