Wyoming LLC: Filing Fees, Annual Report Tax and What's Public Record

To form a Wyoming LLC, you file Articles of Organization with the Wyoming Secretary of State, appoint a registered agent and pay a $100 filing fee, as of October 2026. Online filings are active as soon as you finish the process. Every year after that, you file an annual report and pay a license tax of at least $60.

Wyoming gets talked about as the easy LLC state, and it's true that the filing itself is simple. The points worth knowing before you file are the annual tax, the anniversary deadline and the fact that what you type becomes public. Here's what the Secretary of State's own documents say.

Wyoming LLC costs at a glance

These are from the Business Division filing fee schedule effective 1 July 2026, as of October 2026:

FilingFee
Articles of Organization (new LLC)$100
Certificate of Authority (LLC formed in another state)$150
Each series in a series LLC$10 per series
Annual report license tax$60, or two-tenths of one mill on the dollar of Wyoming assets if greater
Amendment, dissolution or other filing$60
Reinstatement for tax$100
Reinstatement for no registered agent$350

Online filings add a card convenience fee on top of the filing fee, and the Secretary of State takes Visa or MasterCard there. Paper filings are paid by check made payable to the Wyoming Secretary of State.

How to form a Wyoming LLC, step by step

  1. Choose the entity type. The Secretary of State's guide, The Choice Is Yours, summarises each option, and the office can't give legal, tax or financial advice.
  2. Choose a name and search to check it's available.
  3. Find a registered agent. All business entities filed in Wyoming need one to accept service of process, and you might qualify as your own agent.
  4. File the Articles of Organization online or on paper. Domestic LLCs can file online.
  5. Download your copy, certificate and receipt after paying online, or wait for the email if you filed on paper.

Paper filings are processed in the order received and take no longer than 15 business days. Online, the company is active as soon as you complete the process.

The annual report: due on your anniversary month

This is where Wyoming LLCs get into trouble. The annual report is due every year on the first day of the month the company was filed. The Choice Is Yours gives the example: if your business registers on January 15th, the annual report is due January 1st each year. You can file up to 120 days early.

The report asks for current addresses and contact details and may ask for the value of assets located in Wyoming. The tax is $60 or two-tenths of one mill on the dollar of those assets, whichever is greater. For most small LLCs with few or no Wyoming assets, that means $60 a year, as of October 2026. Miss it, and you're looking at the reinstatement fees above. My guide to the LLC annual report compares deadlines in other states.

What people miss: it's all public record

The How to Create a Wyoming Company guide says every document filed with the office is public record under the Wyoming Public Records Act. Anything you key into the online system or write on the paper form, including all signatures, becomes public on filing. If privacy is part of why you chose Wyoming, think about which address and which signatory you put on the form before you submit it.

Already formed in another state?

If your LLC was formed somewhere else and you want to do business in Wyoming, you don't file Articles of Organization. You file for a Certificate of Authority instead, which costs $150, as of October 2026. Foreign qualifications have to be filed on paper, because only domestic LLCs, corporations and limited partnerships can file online. Bringing a company into Wyoming through a domestication or continuance is paper-only too.

Your operating agreement still matters

The state filing creates the LLC, but it doesn't say how it's run. The Choice Is Yours explains that the operating agreement governs most aspects of the management of the LLC, along with its activities and conduct. Wyoming doesn't ask you to file it, so it's easy to skip. Don't. It's the document that settles who decides what, how profits are split and what happens if a member wants out.

A state with an annual statement and fee waivers is covered in forming an LLC in Michigan.

Other LLC types Wyoming offers

  • A series LLC, which can designate one or more series of members, managers, interests or assets. Each series can have its own purpose and hold its own assets, and it's $10 per series.
  • A close LLC, using the Close Limited Liability Company Supplement, which restricts transferring interests, resigning and returning capital.
  • An L3C, a low-profit limited liability company.
  • A DAO, a form of LLC that uses a blockchain.

Some Wyoming cities and counties also have their own permits or licences based on what your business does, so check with the local clerk too. If you're outside the US, read my guides to foreign LLCs and Form 5472 before you file.

My verdict

A Wyoming LLC is cheap to set up and cheap to keep, as long as you diarise the anniversary month and keep a registered agent in place. The two costs that hurt are both avoidable: a late report and a missing agent. Set the reminder the day you file.

Each state sets its own fees and reports, and my Illinois LLC guide shows how Illinois handles the same steps.
