Equal Pay Act: What Counts as Equal Work, the Defenses and the Two-Year Clock

The Equal Pay Act of 1963 makes it illegal for a US employer to pay men and women in the same workplace differently for substantially equal work. It covers virtually all employers, whatever their size, and every form of pay, not just salary. A worker can go straight to court without filing with the EEOC first, within two years, or three if the violation was willful.

That 'virtually all employers' point is the one most small businesses don't know. Title VII and the ADA only apply from 15 employees, but the Equal Pay Act has no such floor, according to the Equal Employment Opportunity Commission (EEOC). A five-person business is covered.

What 'equal work' means

The Act bans paying one sex less 'for equal work on jobs the performance of which requires equal skill, effort, and responsibility, and which are performed under similar working conditions', within the same establishment. The EEOC adds two practical rules: the jobs don't need to be identical, only substantially equal, and job content decides it, not job titles. Calling one role 'manager' and the other 'supervisor' doesn't settle anything.

TestIn plain terms
SkillExperience, ability, education and training the job needs
EffortThe physical or mental exertion the job takes
ResponsibilityHow accountable the role is, such as supervising others
Working conditionsPhysical surroundings and hazards, which must be similar
EstablishmentThe comparison is within the same establishment

Every kind of pay is covered

The EEOC lists salary, overtime pay, bonuses, stock options, profit sharing and bonus plans, life insurance, vacation and holiday pay, cleaning or gasoline allowances, hotel accommodations, travel expense reimbursement and benefits. A matching base salary doesn't help if one person's bonus or car allowance is bigger for no lawful reason.

The four lawful reasons for a pay difference

  1. A seniority system.
  2. A merit system.
  3. A system that measures earnings by quantity or quality of production, such as piece rates or commission.
  4. A difference based on any factor other than sex.

The fourth defense sounds broad, but the employer has to show the factor really explains the gap. 'She didn't ask for more' is a weak place to be if the pay gap simply tracks sex.

The fix you're not allowed to make

Here's the rule that surprises employers: you can't fix an unequal pay gap by cutting the higher-paid person's pay. The Act says an employer paying an unlawful differential 'shall not, in order to comply' reduce anyone's wage rate. The only lawful fix is raising the lower pay. Budget for that before you run a pay audit, not after.

Deadlines and remedies

LawEmployers coveredTime limit
Equal Pay ActVirtually all employersTwo years to go to court or the EEOC; three years for a willful violation
Title VII (sex-based pay)15 or more employees180 days to file a charge, which state law may extend
ADA (disability-based pay)15 or more employees180 days to file a charge, which state law may extend

The EEOC notes that filing an EPA charge with it doesn't extend the time for going to court, so the two-year clock keeps running. Because the Act is enforced through the Fair Labor Standards Act, back pay withheld in breach of it's treated as unpaid wages, and the employer can be liable for an additional equal amount as liquidated damages. Someone with an Equal Pay Act claim may also have a Title VII claim, which doesn't require the jobs to be substantially equal.

How to run a quick equal pay check

  1. List every role and group people by the work they do, not by title.
  2. For each group, put base pay, bonus, commission, allowances and benefits side by side.
  3. Flag any gap between men and women doing substantially equal work.
  4. For each gap, write down which of the four lawful reasons explains it, with evidence such as the seniority dates or the commission figures.
  5. Where no lawful reason explains the gap, plan a raise for the lower-paid person. Cutting the higher pay isn't an option.
  6. Repeat it after every pay review, because new hires on market rates often reopen old gaps.

A small business can do this in an afternoon with a spreadsheet. The value isn't the spreadsheet; it's having the reason written down at the time the decision was made, rather than reconstructed after a complaint.

The UK equivalent

In the UK, equal pay law now sits in the Equality Act 2010. Acas says men and women must get equal pay for 'equal work', which covers like work, work rated as equivalent under a job evaluation, and work of equal value, even where jobs look different: its example is a clerical job and a warehouse job. UK law also lets someone compare themselves with a colleague at an 'associated' employer, such as another company under the same parent. Pay differences can still be allowed for reasons that have nothing to do with sex, such as a London location or a shift that's harder to staff.

The verdict

The Equal Pay Act is short, old and still strict. The traps are that it covers tiny employers, it covers every perk, and the only legal fix is a raise. If two people do substantially the same job, write down the real reason for any pay gap, whether that's seniority, a merit scheme or commission, before anyone asks. If you can't name a reason other than sex, close the gap upwards.

Frequently asked questions

What does the Equal Pay Act do?

It requires men and women in the same workplace to get equal pay for substantially equal work, covering every form of pay including bonuses, allowances and benefits.

Does the Equal Pay Act apply to small businesses?

Yes. The EEOC says it covers virtually all employers, unlike Title VII and the ADA, which apply from 15 employees.

How long do you have to file an Equal Pay Act claim?

Two years from the unlawful pay practice, or three years if the violation was willful. You can go directly to court without filing an EEOC charge first.

Can an employer cut someone's pay to fix an equal pay problem?

No. The Act forbids reducing any employee's wage rate to comply. The lower pay has to be raised.
